چک نوشته‌ای است که به موجب آن شخصی به نام صادر کننده چک وجوه یا اعتباری را که نزد شخص دیگری به نام محال علیه دارد کلاً یا بعضاً به شخص دیگری واگذار می‌کند یا آنکه خودش شخصاً آن را دریافت می‌کند.

به طور مثال شخصی مبلغ ۱۰۰ میلیون تومان در حساب بانکی خود سپرده است و چکی به مبلغ ۱۰ میلیون تومان صادر می‌کند و به شخص دیگر می‌دهد تا دارنده چک و چک را از بانک دریافت کند یا چکی به مبلغ ۲۰ میلیون تومان به نام خود صادر می‌کند تا مبلغ مزبور را از بانک دریافت کند.

صدور چک یک توافق بین صادر کننده و ذینفعی است که چک به او داده می‌شود و اراده بانک نقشی در صدور چک ندارد.

بر اساس ماده ۲ قانون صدور چک صادر کننده چک باید در تاریخ صدور معادل مبلغ چک در بانک محال علیه محل (نقد یا اعتبار قابل استفاده) داشته باشد و نباید تمام یا قسمتی از وجهی را که به آن چک صادر کرده به صورتی از بانک خارج کند یا دستور عدم پرداخت وجه چک را بدهد و نیز نباید چک را به صورتی تنظیم کند بانک به عللی از قبیل عدم مطابقت امضا یا قلم خوردگی در متن چک یا اختلاف در مندرجات چک و امثال آن از پرداخت وجه چک خودداری کند هرگاه در متن چک شرطی برای پرداخت ذکر شده باشد بانک به آن شرط ترتیب اثر نخواهد داد.

همچنین بر اساس ماده ۳ این قانون هرگاه وجه چکی به علتی از علل مندرج در ماده ۲ پرداخت نشود بانک مکلف است در برگ مخصوصی که مشخصات چک و هویت و نشانی کامل صادر کننده در آن ذکر شده باشد علت یا علل عدم پرداخت را صریحاً قید و آن را امضا و مهر کرده و به دارنده چک تسلیم کند.

گفتنی است در ادامه این ماده قانون عنوان شده است که در برگ مزبور باید مطابقت امضا صادر کننده با نمونه امضای موجود در بانک و یا عدم مطابقت آن از طرف بانک تصدیق شود.

همچنین بانک مکلف است به منظور اطلاع صادرکننده چک فورا نسخه دوم این برگ را به آخرین نشانی صاحب حساب که در بانک موجود است، ارسال دارد و در برگ مزبور باید نام و نام خانوادگی و نشانی کامل دارنده چک نیز قید شود.

بر اساس ماده ۳۱۰ قانون تجارت “چک نوشته‌ای است که به موجب آن صادر کننده وجوهی را که نزد محال العلیه دارد کلاً یا بعضاً مسترد یا به دیگری واگذار می‌نماید” و ماده ۳ قانون صدور چک در رابطه با دستور پرداخت در چک‌های مشروط و تضمینی، صدور چک به صورت مشروط یا تضمینی موجب بی‌اعتباری چک نیست، اما این چک از قواعد خاصی به شرح زیر تبعیت می‌کند:

با توجه به اینکه در اسناد تجاری وصف تنجیزی جاری است سند تجاری نباید به صورت مشروط صادر شود و نباید پرداخت وجه آن منوط به شرطی باشد.

حال اگر سند تجاری به صورت مشروط صادر شده باشد با دو نظر مواجهیم برخی معتقدند که شرط مزبور به کلی باطل است حتی در مقام رسیدگی قضایی به آن توجه نمی‌شود و برخی دیگر معتقدند که شرط مزبور صحیح است و به آن توجه می‌شود، اما موجب می‌شود که سند مزبور یک سند تجاری تلقی نشود.

نظر دوم منطقی‌تر است و بر اراده اشخاص منطبق است، زیرا وقتی شخصی سند تجاری را به صورت مشروط صادر کرده است قصد آن را داشته که وجه سند تجاری در صورت حصول شرط پرداخت شود و باید بین اراده اشخاص احترام گذاشت.

اگر صادر کننده چک پرداخت آن را منوط به شرطی کرده باشد مثلاً بنویسد مشروط به اتمام پروژه تا تاریخ ۶ ماه آینده یا آنکه صدور چک را بابت تضمین قراردادی معرفی کرده باشد مثلاً بنویسد بابت تضمین خسارت ناشی از نقض عملکرد پروژه بانک به این شرط توجه نمی‌کند حتی اگر شرط مزبور یا تضمینی بودن چک در متن چک تصریح شده باشد.

بانک در صورت کفالت موجودی وجه چک را پرداخت می‌کند و در صورت عدم کفایت گواهی عدم پرداخت صادر می‌کند.

اگر نسبت به چک مزبور گواهی عدم پرداخت صادر شود و دارنده آن برای دریافت مبلغ چک بخواهد دادخواست تقدیم کند باید در دعوای مطروحه استحقاق خود را ثابت کند به عبارت دیگر در چنین مواردی صرف صدور چک و بودن چک در ید دارنده دلالت بر مدیونیت صادر کننده ندارد بلکه به دلیل آنکه چک مشروط یا تضمینی است دارنده چک باید ثابت کند که شرط مندرج در چک حاصل شده است یا تعهدی که چک برای تضمین آن صادر شده ایفا نشده است و در نتیجه او مستحق دریافت وجه چک است.

دارنده چک مشروط یا تضمینی می‌تواند با اثبات استحقاق خود برای دریافت مبلغ آن دادخواست حقوقی تقدیم کند، اما بر اساس ماده ۱۳ قانون صدور چک طرح شکایت کیفری نسبت به چک‌های مشروط و تضمینی امکان‌پذیر نیست چه مشروط یا تضمینی بودن آن‌ها در متن چک تصریح شده باشد و چه به موجب سایر ادله ثابت شود.

اگر در متن چک مشروط یا تضمینی بودن آن در شده باشد تقاضای صدور اجرایی ثبتی و تقاضای صدور اجرایی فوری قضایی برای وصول چک امکان‌پذیر نیست.

در صورت صدور چک به صورت تضمین یا مشروط تکلیف پر کردن سامانه صیاد چگونه است؟

علاوه بر آنکه می‌تواند بر روی آن چک عبارت تضمین یا مشروط را درج کند ممکن است در سامانه صیاد در قسمتی که برای درج جهت صدور چک تعبیه شده هدف صدور آن چک که همان تضمین یا مشروط است را درج کنیم و در هر صورت چنین چکی که به صورت مشروط یا تضمینی صادر شده است نمی‌توان اجرای ثبتی و اجرایی فوری قضایی صادر کرد یا اقدام به طرح شکایت کیفری کرد چرا که این امور در چک‌های مشروط و تضمینی راه ندارد.

در صورت صدور چک به صورت تضمین یا مشروط بر روی چک و عدم درج این مورد در سامانه صیاد تکلیف چیست؟

باز هم آن چک یک چک مشروط یا تضمینی است و نمی‌توان نسبت به آن چک اجرای ثبتی و اجرایی فوری قضایی صادر کرد یا اقدام به طرح شکایت کیفری کرد، زیرا در مشروط یا تضمینی بودن چک تفاوتی ندارد که بر روی چک درج شده باشد یا در قسمت جهت صدور چک در سامانه صیاد درج شده باشد.
